Privacy/Terms of Use Agreement
Welcome to e-Certified ‘(hereafter the service).' Please read this Privacy/Terms of Use Agreement (Hereafter Agreement) carefully before using this service. By using the service you accept and agree the terms contained hereunder and the terms of the privacy/terms of use agreement. If you do not agree to these terms, please do not use the service. We may change the terms from time to time, and it is your responsibility to review them periodically to make sure that you are current on the guidelines.
General
This service is owned and operated by Impact.com Global RC 450236 (Nigeria). The service offers users access to information, resources and interpersonal networking services and other content assets owned or licensed by e-Certified.
Please note that all visitors and student/clients in any category will be referred to hereafter as ‘user' in this agreement. Each user must be eligible to establish a profile. Student profile means the account registered to any user pursuant to the registration procedures for the service. The terms of this agreement apply to all users. The user for any student profile account is entirely liable for all activities conducted through that account.
Personal Information
When you register to be a user of e-Certified , you must provide the required contact information and general information about you and your organization. We will allocate you a Personal Identification Number (PIN)/password to provide you on payment of the stipulated study fee, and other optional information. This information allows us to maintain a student profile for you as well as have better understanding of your needs so we can then customize preferences for each specific member, as well as provide better services and more efficient methods for users to contribute and receive information. As a registered e-Certified user, you are automatically placed on a list to receive the e-Certified newsletter that is sent from time to time to all users.
At the expiration of your study programme, as a registered user, you will be notified that it is time to either (i) terminate the study programme (ii) on passing your choice exam, upgrade from one study category to another. We may use the information we collect during the registration process to occasionally notify you about important functionality changes to the web site, offerings and services from e-Certified and special offers from sponsors should you opt-in to receiving them.
Personal Information to Other Parties
e-Certified does not sell or otherwise transfer e-mail addresses or other general information that Users voluntarily provide in any registration process unless the User has opted-in to specific distribution action. This information is collected and used to better understand Users' use of the Service and to support related transactions made on the site. e-Certified and Impact.com Global may also use e-mail addresses and other personally identifiable information to communicate with Users who initiate communications with us.
e-Certified may disclose your personally identifiable information if we believe in good faith that we are required to do so in order to comply with applicable law, a subpoena or other legal process. We may also disclose this information if we have reason to believe that disclosing this information is necessary to identify, contact or bring legal action against someone who may be violating our terms of service or to protect the safety of our Users and the public.
Non-transferability of Student Status
As a registered User of this Service, e-Certified grants to you a personal, nonexclusive, non-assignable, and nontransferable license to use and display the information offered by the Service on any machine(s) of which you are the primary user. You acknowledge that you may not sublicense, transfer, sell, or assign this license or the Service without written authorization from e-certified/Impact.com global. Any attempt to sublicense, transfer, sell, loan, or assign the license may result in its immediate termination.
Intellectual Property Rights - No Duplication or Redistribution
The Service provides certain services and benefits for registered Users and derives its revenue from the production and distribution of those services and benefits for the exclusive use of registered Users. Users of the service acknowledge that the duplication and/or redistribution of content, information, data, or other intellectual property gained through exclusive access to the Service to any other party would be a violation of applicable copyright laws and therefore would cause harm to the Service. Users hereby agree that duplication and/or redistribution of any materials to any non-member shall require prior written authorization from us or our agents. It is further agreed, that any specific instance in which written authorization is granted by the Service, does not authorize the User to duplicate and/or redistribute any other material than that for which written authorization was granted.
Security
You shall on request provide e-Certified with accurate, complete, and regularly updated Student Profile information. You agree to notify e-Certified at info@e-certified-ng.com of any known or suspected unauthorized use(s) of your User Account, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your Personal Identification Number (PIN). You shall be responsible for maintaining the confidentiality of your Personal Identification Number (PIN). Any fraudulent, abusive, or otherwise illegal activity may be grounds for termination of your User Account, at e-certified's sole discretion, and you may be reported to appropriate law-enforcement agencies.
Personal Information Security
e-Certified implements a variety of standard web security measures to maintain the safety and security of your personal information. Of course you may use the site anonymously as a visitor, but any personal information you provide to become a Registered User will be protected by secured networks and is only accessible by a limited number of employees who have special access rights to such systems. We recommend that, if you share your computer or use a computer that is accessed by the general public (i.e., a University or library, etc.), you remember to close your browser window when you have finished your session. This will help to ensure that others cannot access your personal information.
Cookies
Cookies are bits of electronic information that a web site can transfer to a User's hard drive to help tailor and keep records of his or her visit to the site. Cookies allow web site operators to better customize site visits to the visitor's individual preferences. The use of cookies is standard on the Internet and most major web sites use them. Although most web browsers automatically accept cookies, you can usually change your browser to prevent or notify you whenever you are sent a cookie. This gives you the opportunity to decide whether or not to accept it. The Service will attempt to install a cookie to your browser that will enable it to recognize you whenever you return to the site. This action will expedite your access of various members benefits and materials. If you choose not to allow the Services cookie to be installed to your browser, please be aware that you may have difficulty accessing some content assets.
Termination of Student Status
Student registrations are effective until terminated by either party. Paid studies are effective until they expire, or are terminated by either party. Although it is assumed that all student/study memberships will remain active for six months, we reserve the right to terminate your student/your right to use the Service when you go against the rules establishing it. We may terminate your account or access rights to this Service immediately without notice, if in e-Certified/Impact.com Global's sole discretion, you fail to comply with any term or provision of this Agreement. Upon termination, you must destroy all materials obtained from this Service and all copies thereof. e-Certified may terminate the Service, or any element of the Service, at any time without notice. Refunds will not be issued for cancelled registration .
Visitor & User Conduct
The Supporter Connections, Advert Board, and Resource Directory shall be used for lawful purposes only. No material shall be posted on or transmitted by any User which violates or infringes on the rights of others, which is unlawful, threatening, abusive, defamatory, invasive of privacy or publicity rights, vulgar, obscene, or otherwise objectionable, which encourages conduct that would constitute a criminal offense, gives rise to civil liability or otherwise violates any law. No conduct shall be undertaken that, in our judgment, restricts or inhibits any other User from using or enjoying the Service. Advertising or explicit commercial solicitations may NOT be posted on or transmitted through the Service without our express prior written approval.
No material protected by copyright, trademark or other proprietary right shall be uploaded, posted or otherwise made available on the Service without the express permission of the owner of the copyright, trademark or other proprietary right. You shall be solely liable for any damages resulting from any infringement of copyrights, proprietary rights, or any other harm resulting from any uploading, posting or submission. If you post materials to the Service, you hereby grant to the Service a royalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display any message posted in the discussion and Service (in whole or in part) worldwide and/or to incorporate it in other works in any form, media or technology now known or later developed.
You shall not (i) select or use a Personal Identification Number (PIN) or e-mail address of another person with the intent to impersonate that person; (ii) use a Personal Identification Number (PIN) or e-mail address subject to the rights of any person without authorization; (iii) use a Personal Identification Number (PIN) in violation of the intellectual property rights of any person; or (iv) use an access that we, in our sole discretion, deem offensive. The foregoing provisions of this section are for our benefit and the benefit of our affiliates, third party content providers and licensors, and each shall have the right to assert and enforce such provisions directly on its own behalf.
ProCert Research
If a user accesses the ProCert Research section of e-Certified 's website, either to provide research information to the website or to retrieve and review research information from the website, the User agrees as follows:
• User will not supply false or defamatory information.
• User will report to e-Certified any false or defamatory information of which User becomes aware.
• Because all of the information on the ProCert section of e-Certified website is provided by Users, e-Certified is not responsible for any false or defamatory material reported or placed on the website by Users.
• e-Certified will not be liable for any loss, damage, action, causes of action, expense, cost, or liability, including attorney fees, made or incurred as a result of any false, misleading or defamatory material or information in the ProCert section of e-Certified website.
• User acknowledges that the ratings, information and opinions expressed in the ProCert Research section of e-Certified website are those of e-Certified , Impact.com Global or its editors, consultants, employees, shareholders and directors.
• User acknowledges that it is important for User to independently investigate all ratings, information and opinions expressed on the ProCert section of e-Certified website.
Third Party Links
In an attempt to provide increased value to Users, e-Certified may provide various third party web-site links from this web-site. However, even if the third party is affiliated with e-Certified , has no control over these linked sites who may each have separate privacy and data collection practices, and which are independent of e-Certified. Neither e-Certified nor any of its affiliates and contractors, have any responsibility or liability for these independent policies or actions and no such party is responsible for the privacy practices or the content of such web sites. These linked sites are only for your convenience and you therefore access them at your own risk. Nonetheless, e-Certified seeks to protect the integrity of its web site and the links placed upon it and therefore requests feedback on not only its own site, but for sites it links to as well (including if a specific link does not work).
Chain Letter and Pyramid Schemes
Transmitting chain letters or pyramid schemes of any kind is strictly disallowed on this Service's mail and message systems and is considered a nuisance by a majority of users. In addition, certain chain letters and pyramid schemes are illegal under state and federal law. Letters or messages that offer a product or service based on the structure of a chain letter are also of questionable legality. At a minimum, they are a waste of this Service's resources and are not permitted.
Solicitation and Advertising
You may not use this Service to send unsolicited advertising, promotional material, or other forms of solicitation to other users except in specific areas designated for such a purpose.
Infringement
You are prohibited by this Agreement and by law from engaging in acts of copyright, trademark, patent, trade secret or other intellectual property or proprietary infringement.
Adult Material
e-Certified prohibits the transfer or posting on this Service of nudity, pornographic or adult material, sexually explicit images or descriptions involving sexual behavior, or other content deemed offensive by e-Certified according to community standards and state/provincial and federal law.
Disclaimer of Warranty; Limitation of Liability
Each User expressly agrees that use of the Service is at his or her sole risk. We do not warrant that these services will be uninterrupted or error free; nor do we make any warranty as to the results that may be obtained from use of these services or as to the accuracy, reliability or content of any information provided through the service. The disclaimer of liability contained in this section applies to any damages or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction or unauthorized access to, alteration of, or use of record, whether for breach of contract, negligence, or under any other cause of action. Each User specifically acknowledges that we are not liable for the defamatory, offensive or illegal conduct of other third parties, subscribers, or other Users of the service and that the risk of injury from the foregoing rests entirely with each User. In no event will we or any person or entity involved in creating, producing or distributing the service be liable for any direct, indirect, incidental, special or consequential damages arising out of the use of or inability to use the service or out of the breach of any warranty.
Each User hereby acknowledges that the provisions of this section shall apply to all content on the Service. We neither endorse nor are responsible for the accuracy or reliability of any opinion, advice or statement on the Service, nor for any offensive, defamatory or obscene posting made on the Service by anyone other than our employee spokespersons while acting in their official capacities. Under no circumstances will we be liable for any loss or damage caused by reliance on information obtained through postings on the service.
We do not endorse, warrant or guarantee any product or services offered by a third party through the Service and will not be a party to or in any way monitor any transaction between Users and third party providers of products or service. As with the purchase of a product or services through any medium or in any environment, each User should use her or her best judgment and exercise caution where appropriate. Each User specifically acknowledges that in no event will we, our affiliates, nor any of their respective employees or agents be liable for any direct, indirect, incidental, special or consequential damages arising out of (i) the use by such user of any browser owned or operated by any party and/or (ii) the downloading of any software owned or operated by any third party.
Monitoring
We shall have the right, but not the obligation, to monitor the content of the Service to determine compliance with this Agreement and any other operating rules established by us. We shall have the right in our sole discretion to edit, refuse to post or remove any material submitted to or posted on the Service. Without limiting the foregoing, we shall have the right to remove any material that we, in our sole discretion, find to be in violation of the provisions hereof, otherwise objectionable or stale. Notwithstanding this right, Users shall remain solely responsible for the content of their messages. Each User acknowledges and agrees that neither we nor any third party content provider shall assume or have any liability for any action or inaction by us or any third party content provider with respect to any conduct, communication or posting on the Service.
Policy Changes
By using the Service, Users consent to the collection and use, as described herein, of information by e-certified and its affiliates. If we decide to change this Privacy/ Terms of Use Agreement, we will post those changes on this page so that you are always aware of how we use information we collect, and under what circumstances we disclose it.
